What Is Misrepresentation?
Brokers associated with FINRA are forbidden from engaging in the misrepresentation of investments or strategies they recommend. As the regulator outlines in its investor resources, the term describes a broker’s failure to accurately and/or fully disclose material facts regarding an investment. Material facts, to be clear, are those that an investor would consider significant to their decision about whether to invest in a given product. If a broker represents an illiquid investment as liquid, for instance, they might lead a client with liquidity needs to purchase it—even though it would likely be unsuitable for their purposes. When brokers misrepresent investments, they may be found to have contravened FINRA Rule 2020. This rule forbids them from employing “manipulative, deceptive or other fraudulent” devices or contrivances to induce the purchase or sale of securities.
